All purchase transactions executed through International Restaurant Equipment Co., Inc., and/or IREkitchen.com hereinafter shall be referred to, as "IRE" or "Seller" is subject to the following terms and conditions.

TERMS OF SALE: The Seller Terms of Sale ("Terms") govern the purchase of Items ("Item" or "Items" if plural). Any one who enters the Site and purchase goods and services (hereinafter referred to as "Buyer".) These Terms establish enforceable rights and obligations applicable to the Buyer and to Seller. You should read these Terms carefully. If you agree to accept and be bound by the provisions of these Terms you should click the "I accept" button that appears at the bottom of this page.

Seller may amend these Terms at any time and from time to time by posting the amended terms on this Site. Due to constant increases, prices are subject to change in any time without notice. If you use the Site to purchase any Item, you agree that you have accepted these terms and conditions and all amendments to these Terms that are effective as of the date of your purchase. You have the responsibility to review these Terms for amendments. These Terms may not be amended in any other fashion.

RETURN POLICY: All products are shipped in good working order. All damages and/or shortages must be reported to the freight carrier within 24 hours to obtain an inspection report. We will assist you in processing the claim and to arrange for product replacement.

• All sales are final and are not subject to be returned without first obtaining the written Return Merchandise Authorization (RMA) document from Seller.



• No returns will be accepted after 30 days.



• No returns of damaged merchandise after delivery has been accepted. Please check and inspect shipment before signing receipt. All damages or shortages must be reported to the freight carrier and a written notice to IRE within 24 hours of receipt of merchandise.



• When requesting return, please furnish Invoice #, Item #, Quantity being returned, and the reason for the return.



• Any authorized return is subject to a 20% restocking charge plus all applicable freight charges to both destinations.



• No returns allowed on: 1) Damaged Merchandise, 2) Special Order Merchandise, 3) discontinued or Close-Out Merchandise.



• Shortages: 1) As in any business, it is the customers responsibility to check what is being received before signing for it. If there is any shortages please indicate so on the Bill of Lading, and the driver will report this to his supervisor. 2) No shortage claims will be accepted after the Bill of Lading has been signed and the driver has left.

WARRANTY: All Merchandise Equipment and Appliances are sold with the manufacturer's standard warranty. No other warranty or guarantee expressed or implied is made. These warranties are provided for the end consumer only. IRE is a distributor and is not responsible for the repair of merchandise. IRE will provide Buyer with the name and Telephone number of the nearest factory authorized service agency.

PAYMENT: IRE will charge the Credit Card of the purchaser upon shipment of the Item(s). The amount of the charges will equal to the purchase price amount plus Sales Taxes, and any Shipping and Handling charges when applicable.

SHIPPING TERMS: All merchandise shipped F.O.B. shipping point, unless otherwise noted. Prepaid freight shall be based on one shipping destination within the 48 contiguous states. IRE will arrange for shipment and insurance of Items purchased for delivery within the contiguous 48 United States. The Buyer shall be solely responsible and charged by IRE for all shipment, handling and insurance charges. Subject to UPS regulations and restrictions, shipments will be made UPS ground. Items that do not qualify for UPS ground shipment will be shipped LTL at the prevailing freight rate and charged to Buyer. IRE sole delivery obligation is to make purchased Items available to the carrier at its outbound shipping dock at such other shipping point as IRE selects in its sole discretion. At such time as IRE delivers the Items, as described in the preceding sentence, the Items are deemed delivered to the Buyer, title to such Item(s) and risk of loss, theft, or damage to the Item(s) are transferred to the Buyer.

SHIPMENT OUTSIDE THE UNITED STATES: With respect to any Items purchased at this Site, Buyer acknowledges, without limiting the affect of any other provision of these Terms, that the Buyer takes possession of and title to the Items within the contiguous 48 United States and that Buyer is solely responsible for any movement of an Item after IRE has made the Item available in accordance with the Shipping Terms section of these Terms. Additionally, the Buyer shall be responsible for obtaining and paying for any permits, licenses, or other governmental authorization(s) necessary for the exportation of the products into the destination country, and the Buyer shall comply with all laws and regulations thereof. Buyer shall select and pay the freight forwarder who shall solely be the Buyer's agent. The freight forwarder's actions shall be exclusively on behalf of the Buyer and are not authorized by, or binding upon "IRE".

PROMOTIONS: The terms and conditions for specials or promotions if any, offered by "IRE" in the IREkitchen.com site will be clearly stated as special net prices and shall be subject to the terms of the special or promotional guidelines. It shall NOT be eligible to any other IRE discount schedule.

INDEMNIFICATION: You agree to defend and indemnify and hold harmless IRE and all of its purveyors, affiliates, officers, agents, and employees from any claim or demand made by any third party in connection with any action that takes place through the use of this Site, including, but not limited to, the sale of any Item, the rejection of any membership application, the cancellation or suspension of any registration, Buyer's failure to comply with any local codes or regulations, or export/import restrictions of the United States or any destination jurisdiction.

COMPLETE AGREEMENT: The provisions of these Terms of Purchase, the IRE Access Agreement and all forms, acknowledgments, invoices, and receipts, are incorporated herein by reference and constitute the entire and exclusive agreement between Buyer and Seller.

SEPARABILITY: If any provision of these Terms of Purchase shall be deemed illegal or unenforceable, such illegality or unenforceability shall not affect the validity and enforceability of any other legal provisions hereof which together shall then be construed as if such illegal and unenforceable provision or provisions had not been inserted herein, unless such illegality or unenforceability shall destroy the underlying business purpose of these Terms of Purchase.

GOVERNING LAW; LIMITATIONS: These Terms shall be construed, interpreted and performed exclusively according to the laws, excluding conflict of law rules, of the State of California, United States of America. Any legal action against IRE with respect to any transaction must be brought in a State or Federal court sitting in Los Angeles County, California no later than one year after the Items sold are deemed delivered by IRE. The provisions of the Uniform Commercial Code as adopted by the State of California, and not the United Nations Convention on Contracts for the International Sale of Goods, shall apply.

DISPUTE RESOLUTION: Actions by IRE for nonpayment by the Buyer of the purchase price of products sold on the Site, or for redress of other breaches by the Buyer of these Terms of Purchase may be brought by IRE, at its option, before any court of competent jurisdiction. In IRE sole discretion, any action brought against IRE may finally be settled by arbitration in Los Angeles, California, USA, under the Commercial Arbitration Rules of the American Arbitration Association, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
